Agreement

These Terms of Service are an agreement between you and Terran Enterprise LLC, a Delaware limited liability company that operates the Terran Denizen platform (“Terran Denizen,” “we,” “us”). “Terran Denizen” is the name we operate under.

These Terms govern your use of our website, member platform, mailing list, treks, events, and related services (the “Services”). By checking the box to accept these Terms when you apply or create an account, or by using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

Our Privacy Policy and Refund and Cancellation Policy form part of these Terms. Each trek booking also requires you to accept the Trek Participation Agreement.

Eligibility and Membership

• You must be at least 18 years old.
• Membership is by application and is currently open to students and graduates of the programs listed on our Eligibility page. The list of eligible programs changes over time.
• Submitting an application does not guarantee admission. Admission decisions are at our sole discretion, and we are not required to give reasons.
• You agree to give accurate information and to keep it current. We may verify your enrollment or graduation.
• Your membership is personal to you. You are responsible for activity on your account and for keeping your login details confidential.

Terran Denizen is an independent organization. It is not affiliated with, sponsored by, or endorsed by any university or business school. School and program names describe eligibility only.

03 — Terms of Service

Membership Levels, Fees, and Payment

Some membership levels, treks, and events carry a fee. The full price, including any mandatory charges, is shown before you pay. Prices are in U.S. dollars unless stated otherwise, and you are responsible for any taxes that apply.

If you purchase a membership that renews, it renews automatically at the end of each term at the price then in effect, using the payment method on file, until you cancel. You may cancel at any time in your account settings or by emailing us, and cancellation takes effect at the end of the current term. We will tell you in advance of any price change.

Payments are handled by our payment processor. Refunds are governed by our Refund and Cancellation Policy.

We may add, change, or retire membership levels, benefits, programs, and pricing at any time. A price change does not affect a term you have already paid for.

04 — Terms of Service

Treks and Events

Treks are professional and experiential programs held in destinations outside your home city, usually abroad. To join a trek you must accept the Trek Participation Agreement when you book, which sets out the risks, your responsibilities, and the insurance you must carry.

• What the program fee covers. The program fee covers the program described on the trek page. It does not include flights or other travel to and from the destination, visas, insurance, or personal expenses, which you arrange and pay for yourself.
• Accommodation. Where offered, shared or single accommodation is an optional add-on at an additional price. We book it on your behalf with an independent lodging provider.
• Each trek has its own terms. Dates, pricing, the deposit, the refund schedule, and the minimum number of participants are shown on the trek page. The terms shown when you book are the terms that apply to your booking.
• Itineraries can change. Hosts, venues, and schedules are subject to change, and we may substitute comparable sessions where needed.
• Independent providers. Hotels, transport operators, venues, guides, and hosts are independent third parties. We select them with care, but we do not own or control them.

Events are governed by the details shown at registration and by these Terms.

We do not promise any particular outcome from a trek, event, or introduction, including a job offer, an investment, or a business relationship.

Opportunities and Partners

We introduce members to employers, investors, and other partner organizations, and we list opportunities they provide. We are not an employer, a recruiter acting on your behalf, or a party to any arrangement you reach with a partner. Partners are responsible for their own listings and decisions.

When you register for a program or apply for an opportunity that a partner hosts, sponsors, or lists, we share your details with that partner, as described in our Privacy Policy.

06 — Terms of Service

Community Standards

Members represent the community wherever they go. You agree to:

• treat members, hosts, partners, and staff with respect, and not harass, threaten, or discriminate against anyone;
• follow local laws, host and venue rules, and reasonable instructions from trek leaders;
• keep confidential anything a host or speaker asks to be kept off the record;
• use the member directory and member contact details only for personal and professional networking, and not copy, scrape, sell, or use them for bulk solicitation;
• not misrepresent your identity, your credentials, or your relationship with Terran Denizen; and
• not interfere with the platform, attempt to access accounts or data that are not yours, or use the Services for anything unlawful.

07 — Terms of Service

Your Content

You keep ownership of what you submit, including your profile, photos, resume, and feedback. You give us a non-exclusive, royalty-free, worldwide license to host, use, reproduce, display, and share that content to operate, improve, and promote the Services, including by sharing your details with the partner behind a program or opportunity you sign up for. This license ends when you delete the content or close your account, except for copies we are required or permitted to keep, information already provided to partners, and materials already published.

We will not use your name, photo, or words in testimonials or marketing without your consent. Group photography at treks and events is covered by the Trek Participation Agreement and the event registration terms, and you may opt out.

You confirm that you have the right to share what you submit and that it does not infringe anyone else’s rights.

08 — Terms of Service

Our Content

The Terran Denizen name, logos, website, platform, and program materials belong to us or our licensors. You may use them for your personal, non-commercial use as a member or visitor. You may not copy, republish, or commercially exploit them without our written permission.

Third-Party Services

The Services may link to or rely on websites and services operated by others, such as payment, messaging, and booking providers. Their terms and privacy policies govern your use of them, and we are not responsible for their content or practices.

10 — Terms of Service

Suspension and Termination

You may close your account at any time in your account settings or by emailing us.

We may suspend or end your membership at our discretion, including if you breach these Terms or the Community Standards, give false information in your application, or act in a way that puts members, hosts, or the community at risk. Where practicable, we will tell you why. Refunds on termination are covered in the Refund and Cancellation Policy.

Sections that by their nature should continue after termination, including Sections 11 through 14, will continue to apply.

Disclaimers

We work to provide Services of a high standard. To the extent the law allows, the Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted or error-free, or that information provided by partners, hosts, or other members is accurate.

12 — Terms of Service

Limitation of Liability

To the fullest extent the law allows:

• Terran Denizen and its owners, officers, employees, and contractors are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost opportunities, or lost data, arising from or related to the Services;
• we are not liable for the acts or omissions of independent third parties, including airlines, hotels, transport operators, venues, hosts, partners, and other members; and
• our total liability for all claims arising from or related to the Services is limited to the greater of the amount you paid us in the 12 months before the claim arose and 100 U.S. dollars.

Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud or for gross negligence or willful misconduct. If you are a consumer outside the United States, you keep the protections of the mandatory laws of the country where you live.

13 — Terms of Service

Indemnification

You agree to indemnify Terran Denizen against claims brought by third parties, and the reasonable costs of responding to them, to the extent they result from your breach of these Terms, your violation of law, or your misconduct during a trek or event. This does not apply to the extent a claim results from our own negligence or misconduct.

Governing Law and Disputes

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules.

If you have a concern, email hello@terrandenizen.com. Most concerns are resolved this way. Each of us agrees to try to resolve a dispute informally for 30 days before starting a formal proceeding.

Arbitration

If we cannot resolve a dispute informally, it will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator. The arbitration will be held in New York, New York, or by video or telephone at your election. Either of us may instead bring an individual claim in small claims court, and either of us may ask a court for an injunction to protect intellectual property or confidential information.

No class actions

Disputes will be resolved on an individual basis only. Neither of us may bring or take part in a class, collective, or representative proceeding.

Your right to opt out

You may opt out of arbitration and the class action waiver by emailing hello@terrandenizen.com within 30 days of first accepting these Terms. If you opt out, or if this arbitration agreement does not apply, disputes will be heard in the state or federal courts located in Delaware.

Members outside the United States

If you are a consumer living in the European Economic Area, the United Kingdom, or Switzerland, the arbitration agreement and class action waiver do not apply to you, and you may bring a claim in the courts of the country where you live.

15 — Terms of Service

Changes to These Terms

We may update these Terms as our programs change. If we make a material change, we will email members and post a notice on the website at least 14 days before it takes effect. If you do not agree to a change, you may close your account before it takes effect. A change will not alter the terms of a trek or event you have already booked.

16 — Terms of Service

General

• Entire agreement. These Terms, the Privacy Policy, the Refund and Cancellation Policy, and any Trek Participation Agreement you accept are the entire agreement between us.
• Order of priority for treks. If documents conflict on a matter relating to a trek, the Trek Participation Agreement comes first, then the terms shown on the trek page when you booked, then the Refund and Cancellation Policy, then these Terms.
• Severability. If a provision is found unenforceable, the rest remain in effect.
• No waiver. If we do not enforce a provision, we have not waived it.
• Assignment. You may not transfer your rights under these Terms. We may transfer ours to an affiliate or a successor to our business.
• Electronic communications. You agree that we may send notices and agreements electronically, and that electronic signatures are valid.
• Copyright concerns. If you believe content on the platform infringes your copyright, email hello@terrandenizen.com with the details and we will review it promptly.
