Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Terran Denizen platform, website, services, events, and membership program (collectively, the "Services"). By accessing or using any part of the Services, or by submitting a membership application, you agree to be bound by these Terms in their entirety.

If you do not agree with any part of these Terms, you must not access or use the Services. Terran Denizen reserves the right to modify these Terms at any time. Your continued use of the Services following notice of changes constitutes your acceptance of the revised Terms.

Membership & Eligibility

Terran Denizen is a selective, application-based community. Submission of an application does not guarantee membership. Terran Denizen reserves the right to accept, reject, or rescind membership at its sole discretion, at any time and without obligation to provide a reason.

• Members must provide accurate, current, and complete information at all times
• Membership is personal and non-transferable
• Members are responsible for maintaining the confidentiality of their account credentials
• Terran Denizen may suspend or terminate membership for any conduct it deems inconsistent with the standards of the community, without liability
• Trek participation is subject to separate eligibility criteria determined by Terran Denizen and, where applicable, by trek host organizations

Intellectual Property

All content, branding, design, software, data compilations, and materials on the Terran Denizen platform — including but not limited to the Terran Denizen name, logos, trek content, partnership materials, and member network data — are the exclusive intellectual property of Terran Denizen or its licensors.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any Terran Denizen content without prior written permission. Any unauthorized use may result in immediate membership termination and legal action.

User Content

By submitting any content to Terran Denizen — including application materials, profile information, photos, trek feedback, or communications — you grant Terran Denizen a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, distribute, display, and create derivative works of such content for any purpose, including promotional and commercial uses, without further consent or compensation.

You represent that you have all necessary rights to grant the above license and that your content does not infringe the rights of any third party.

Limitation of Liability

To the fullest extent permitted by applicable law, Terran Denizen, its founders, officers, employees, partners, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with:

• Your use of or inability to use the Services
• Any trek, event, or activity organized, facilitated, or promoted by Terran Denizen, including travel, accommodation, transportation, and on-site engagements
• Any interactions between members, partner organizations, or third parties facilitated through or in connection with the Services
• Any employment outcome, recruitment decision, or career result arising from participation in Terran Denizen programs
• Loss or unauthorized access to your personal data beyond our reasonable control
• Any errors, omissions, or inaccuracies in platform content or partner information
• Force majeure events including but not limited to travel disruptions, natural disasters, political events, pandemics, or governmental actions

Indemnification

You agree to defend, indemnify, and hold harmless Terran Denizen and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you submit to the platform.

Trek Participation

Participation in Terran Denizen career treks and events is voluntary and subject to the following conditions:

• Terran Denizen makes no guarantees regarding trek outcomes, including employment offers, partnerships, or professional opportunities
• Members participate in all travel, activities, and events at their own risk; Terran Denizen is not responsible for personal injury, property damage, or loss incurred during or in connection with treks
• Members are solely responsible for arranging and funding their own travel, visa, insurance, and accommodation unless expressly stated otherwise
• Terran Denizen reserves the right to modify, cancel, or reschedule treks at any time due to operational, logistical, safety, or force majeure reasons
• Trek delegates consent to being photographed and filmed during events; such content may be used by Terran Denizen and its partners for promotional purposes
• Participants must comply with the behavioral standards of the Terran Denizen community; Terran Denizen reserves the right to remove any individual from a trek without refund for conduct deemed inappropriate

Modifications to Services & Terms

Terran Denizen reserves the right to modify, suspend, or discontinue any aspect of the Services — including membership tiers, trek programs, pricing, platform features, and partner relationships — at any time and without liability to members.

We reserve the right to amend these Terms at any time by posting updated Terms on our website. Material changes will be communicated to members via email or platform notification where reasonably practicable. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.

09 — Terms of Service

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration administered by the American Arbitration Association in Boston, Massachusetts, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction. You waive any right to participate in class action litigation or class-wide arbitration.
