01 — Trek Agreement

How This Agreement Works

This Agreement is between Terran Enterprise LLC, a Delaware limited liability company operating as Terran Denizen (“Terran Denizen,” “we,” “us”), and you. It applies to each trek you book.

You accept this Agreement by checking the box at booking. The details of your trek, including its dates, destination, program fee, deposit, minimum number of participants, and refund schedule, are those shown on the trek page when you book, and they form part of this Agreement.

02 — Trek Agreement

The Program

The program fee covers the program described on the trek page: the scheduled sessions, site visits, and hosted activities, and any meals or local transport the trek page expressly lists as included.

The program fee does not include flights or other travel to and from the destination, visas, travel or medical insurance, meals and local transport not listed as included, or personal expenses. You arrange and pay for these yourself.

Itineraries, hosts, and venues may change. We may substitute comparable sessions where a host or venue becomes unavailable. We do not promise any particular outcome from the trek, including a job offer, an investment, or a business relationship.

03 — Trek Agreement

Accommodation

If you select an accommodation add-on, we book lodging on your behalf with an independent lodging provider for the nights shown on the trek page. Shared accommodation means a room shared with one other participant, whom we assign. The lodging provider, and not Terran Denizen, operates the property and is responsible for its condition, services, and safety. You are responsible for incidental charges and for any damage you cause.

If you do not select an add-on, you arrange your own lodging and are responsible for reaching each scheduled session on time.

04 — Trek Agreement

Your Travel

You are responsible for your own travel to and from the destination. We are not responsible for flight delays, cancellations, missed connections, lost baggage, or any cost that results from them.

We strongly recommend that you wait for our written confirmation that the trek will run before booking non-refundable travel. We do not refund or reimburse travel you book yourself in any circumstance, including when a trek is canceled or changed.

05 — Trek Agreement

Payment, Cancellation, and Refunds

Your deposit is non-refundable unless we cancel the trek. Refunds of the program fee and any accommodation add-on follow the refund schedule shown on the trek page when you booked and our Refund and Cancellation Policy.

Each trek requires the minimum number of participants shown on the trek page. If the minimum is not met, we may cancel the trek, and we will notify you no later than 30 days before the trek start date. If we cancel for that reason or for any other reason within our control, you may choose a full refund of everything you paid us, including your deposit, or a credit toward a future trek.

If we must cancel or cut short the trek because of events outside our reasonable control, such as a government travel advisory, a border closure, a natural disaster, civil unrest, a public health emergency, or a host withdrawing access, we will refund what you paid us less any amounts already paid to third parties that we are unable to recover, or you may take a credit for the full amount.

06 — Trek Agreement

Passport, Visa, and Entry Requirements

You are responsible for holding a valid passport, obtaining any visa or entry authorization, and meeting the health and entry requirements of the destination and any transit country. If you are refused boarding or entry, the refund schedule applies as if you had canceled on that date.

07 — Trek Agreement

Insurance

You must hold travel medical insurance that covers emergency medical treatment and emergency medical evacuation for the destination and the full trek dates. We may ask for proof of coverage before departure and may decline your participation, under the refund schedule, if you cannot provide it.

We strongly recommend insurance that also covers trip cancellation and interruption, baggage, and personal liability. Terran Denizen does not provide insurance of any kind for participants.

08 — Trek Agreement

Health and Fitness to Travel

You confirm that you are fit to travel and to take part in the program, and that you have consulted a physician about any condition that could affect your participation. You are responsible for your own medications and any required vaccinations. We do not ask for or review medical information, and you are responsible for judging your own fitness to take part.

09 — Trek Agreement

Conduct

You agree to follow the Terran Denizen Community Standards, the laws and customs of the destination, the rules of each host and venue, and the reasonable instructions of trek leaders. You agree to keep confidential anything a host or speaker asks to be kept off the record.

We may remove you from all or part of the trek, without refund, if your conduct endangers others, breaks the law, or seriously disrupts the program. You are responsible for your own costs if you are removed, including the cost of returning home.

10 — Trek Agreement

Assumption of Risk

International travel and group programs carry risks that cannot be eliminated. They include, among others:

• illness, injury, or death, including from accidents, food or water, infectious disease, climate, or physical activity;
• road, air, and water transport accidents, and local driving and safety standards that differ from those at home;
• medical care that may be limited, distant, or of a different standard than you are used to;
• crime, theft, civil unrest, political instability, terrorism, and detention or other action by government authorities;
• natural disasters and severe weather;
• the acts or omissions of airlines, hotels, transport operators, venues, hosts, guides, and other participants; and
• risks arising during free time and any activity that is not part of the scheduled program.

YOU UNDERSTAND THESE RISKS, YOU ARE CHOOSING TO TAKE PART VOLUNTARILY, AND YOU ACCEPT THE RISKS OF PARTICIPATION.

11 — Trek Agreement

Release and Limitation of Liability

TO THE FULLEST EXTENT THE LAW ALLOWS, YOU RELEASE TERRAN ENTERPRISE LLC, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND VOLUNTEERS (THE “RELEASED PARTIES”) FROM ALL CLAIMS FOR INJURY, ILLNESS, DEATH, LOSS, DAMAGE, DELAY, OR EXPENSE ARISING FROM OR RELATED TO THE TREK, INCLUDING CLAIMS ARISING FROM THE ORDINARY NEGLIGENCE OF THE RELEASED PARTIES.

This release does not apply to claims arising from the gross negligence, recklessness, or intentional misconduct of the Released Parties, or to any liability that cannot be released under applicable law.

Airlines, hotels, transport operators, venues, hosts, and guides are independent third parties. The Released Parties are not liable for their acts or omissions.

To the fullest extent the law allows, the Released Parties are not liable for indirect, incidental, consequential, or punitive damages, and their total liability arising from the trek is limited to the amount you paid Terran Denizen for the trek.

You agree to reimburse Terran Denizen for third-party claims and reasonable costs that result from your breach of this Agreement, your violation of law, or your misconduct during the trek.

12 — Trek Agreement

Emergencies

If you are unable to make decisions for yourself in an emergency, you authorize Terran Denizen staff to arrange medical treatment and transport that a medical professional considers necessary, and to contact the emergency contact you gave at booking. You are responsible for the cost of any treatment, transport, or evacuation.

13 — Trek Agreement

Photography and Recording

We photograph and record treks. You permit Terran Denizen to use images and recordings in which you appear for its website, social media, and program materials, without payment. We will not use your image in paid advertising or attribute a testimonial to you without your separate consent.

If you prefer not to appear in what we publish, tell us at hello@terrandenizen.com before the trek. You may also withdraw this permission for future use at any time.

14 — Trek Agreement

Personal Information

We handle your personal information as described in our Privacy Policy. To run the trek, we share the details that hosts, venues, operators, and the partner organizations behind the program need, which may include passport or identification details where they are required for access. Identification details collected for a trek are kept only for as long as that trek requires.

15 — Trek Agreement

Governing Law and Disputes

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Disputes arising from this Agreement or a trek are resolved under the Governing Law and Disputes section of our Terms of Service, including its agreement to individual arbitration and class action waiver, and the exceptions stated there for members who live outside the United States.

16 — Trek Agreement

General

This Agreement, the terms shown on the trek page when you booked, the Refund and Cancellation Policy, and the Terms of Service are the entire agreement between us about the trek. If they conflict, this Agreement comes first, then the terms shown on the trek page, then the Refund and Cancellation Policy, then the Terms of Service.

If a provision is found unenforceable, it will be enforced to the extent the law allows and the rest of the Agreement remains in effect. You may not transfer your place without our approval. Your electronic acceptance has the same effect as a signature.

17 — Trek Agreement

Your Acceptance

By checking the box at booking, you confirm that:

• you are at least 18 years old;
• you have read and understood this Agreement, including the Assumption of Risk and the Release and Limitation of Liability;
• you hold, or will hold before departure, the insurance this Agreement requires; and
• the information you have given us is accurate.
